3. CLIENT RESPONSIBILITIES

Clients retain ownership of their pre-existing materials, content, and intellectual property provided to us for project purposes.
4.3 License Grant:
Upon full payment, clients receive a limited, non-exclusive license to use Auditoria-developed materials solely for the specific project purposes outlined in our agreement.
5. PAYMENT TERMS AND CONDITIONS
Professional fees and payment terms are established through individual project agreements:

- Consultancy fees based on project scope and complexity

- Travel and accommodation expenses as applicable

9. INDEMNIFICATION
Clients agree to indemnify and hold harmless Auditoria Limited, its directors, employees, and consultants from claims arising from:

- Site safety issues beyond our direct control
10. TERMINATION PROVISIONS

Either party may terminate the engagement with written notice as specified in the project agreement, subject to payment for services rendered and costs incurred.

Upon termination, all rights and obligations cease except for confidentiality provisions, payment obligations, and intellectual property protections.
11. GOVERNING LAW AND JURISDICTION
